1. Agreement to terms

These Terms of Use (“Terms”) govern your access to and use of wooplak.com and any related services (collectively, the “Site” or “Services”) operated by Wooplak (“we”, “us”, “our”). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By placing an order you represent that you have authority to use the payment method provided and that any images uploaded do not violate the rights of third parties.

3. Orders, pricing & payment

a. Orders — When you place an order, you offer to purchase our products subject to these Terms. We may accept, reject or cancel orders for any reason, including stock or technical issues.

b. Pricing — Prices are displayed on the Site and are subject to change without notice. Shipping and applicable taxes will be added at checkout.

c. Payment — Payments are processed via our secure payment systems. By submitting payment information you authorize us to charge your chosen payment method for the total order. You are responsible for providing accurate billing information.

4. Production, fulfillment & shipping

a. Production — Each product is custom-made to order from the images and specifications you provide. By uploading images, you confirm you own or are licensed to use them. We may refuse to produce items that infringe intellectual property or that we determine are inappropriate.

b. Shipping — We ship to U.S. addresses nationwide. Shipping timelines are estimates; we are not responsible for carrier delays. You are responsible for providing a correct shipping address.

5. Returns, refunds & defects

Because items are custom-made to your specifications, we do not accept returns for buyer’s remorse. If your item arrives damaged or defective, or if we make an error, contact us at [email protected] or (732) 454-7732 within 14 days of delivery. We will evaluate the issue and at our option will repair, replace, or refund the order. We reserve the right to require photos or return of the item for inspection.

6. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts for violations of these Terms.

7. User content & image uploads

You grant Wooplak a limited license to use, reproduce, and process images you upload to fulfill orders, provide customer support, and for internal business purposes. You represent and warrant that you have all rights required to upload and reproduce the image. Wooplak may refuse to process images that violate our policies or applicable law.

8. Prohibited use

You may not use the Site for illegal purposes, to infringe third-party rights, to upload unlawful or offensive content, or to attempt to access other users’ accounts. We reserve the right to remove content and suspend or terminate accounts for prohibited use.

9. Intellectual property

All Site content (text, logos, graphics, designs) is the property of Wooplak or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or create derivative works from Site content without permission.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOOPLAK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOOPLAK AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Wooplak and its officers, directors, employees, and agents harmless from and against any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of any rights of a third party, or your use of the Site.

13. Governing law & jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any claim or dispute arising out of or in connection with these Terms or the Site shall be brought in state or federal courts located in New York County, New York.

14. Modifications

We may change these Terms at any time. When we do, we will post the updated Terms with a new effective date. Continued use of the Site after changes constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate access to the Site or your account at our discretion, including for violations of these Terms or for legal reasons.

16. Privacy

Our Privacy Policy (available on the Site) explains how we collect and use personal information. By using the Site you consent to our Privacy Policy.
